1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are legally able to enter into these Terms.

2. Services

Neo Health provides digital health and wellness support, including AI-powered health information, meal planning, grocery list generation, nutrition guidance, symptom-checking support, and related tools. The Services may also include optional telehealth or physician care offerings where available.

Neo Health is not a hospital, emergency care provider, or substitute for licensed medical advice, diagnosis, or treatment. If you are experiencing a medical emergency, call 911 immediately.

3. No Medical Substitute

The Services are intended for informational and support purposes only. You should always seek the advice of a physician or other qualified healthcare professional with any questions regarding a medical condition, treatment, or diagnosis.

The Services are not intended for crisis situations, including emergencies, mental health crises, or urgent medical conditions requiring immediate care.

4. Account Registration

To access certain features, you may be required to create an account or sign in through a third-party provider. You agree to provide accurate, current, and complete information and to keep your credentials secure.

You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms or that we believe create risk for Neo Health, other users, or third parties.

5. Payments, Subscriptions, and Cancellation

Certain Services may require payment of recurring monthly or annual subscription fees. By purchasing a subscription, you authorize Neo Health to charge your selected payment method on a recurring basis until canceled.

Subscriptions automatically renew monthly or annually, depending on the plan you selected, unless canceled before the next renewal date. If you cancel, your cancellation will apply to the following billing period, and you will not be charged again after the end of your current paid term.

You may cancel your subscription at any time. If you cancel, you will continue to have access to the paid Services through the end of your current billing period, including the remainder of your current month for monthly plans or the remainder of your current annual term for annual plans.

All subscription fees are nonrefundable. Monthly subscriptions and annual subscriptions are both final, and Neo Health does not provide full or partial refunds for unused time, unused features, or early cancellation, except where required by applicable law.

Neo Health may change subscription pricing, features, or billing terms at any time with reasonable notice, and any such changes will apply prospectively.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not misuse the Services, interfere with their operation, attempt unauthorized access, reverse engineer the platform, scrape data, or use the Services to violate any law or the rights of any person.

You may not use the Services to submit false, misleading, abusive, harmful, or fraudulent information.

7. Intellectual Property

All rights, title, and interest in and to the Services, including all software, text, graphics, branding, designs, functionality, algorithms, and content, are owned by Neo Health or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable right to use the Services for your personal, non-commercial use only.

You may not copy, modify, distribute, sell, license, or create derivative works from the Services without Neo Health’s prior written consent.

8. Third-Party Services and Integrations

The Services may integrate with or link to third-party platforms, products, or services, including payment processors, telehealth providers, pharmacies, laboratories, Apple Health, Google, mobile app stores, and other third-party tools or websites. Neo Health does not control and is not responsible for any third-party services, their content, availability, privacy practices, terms, or performance.

Your use of third-party services may be subject to separate terms, conditions, and privacy policies imposed by those third parties. Neo Health is not liable for any damages, losses, delays, or errors caused by third-party services or your use of them.

9. Telehealth and Provider Relationship

Certain Services may include access to telehealth, physician care, or other clinical services provided by licensed healthcare professionals or affiliated medical groups. Any medical, clinical, prescribing, diagnostic, or treatment services are provided by licensed healthcare professionals or medical practices, not by Neo Health itself, unless expressly stated otherwise.

Neo Health provides administrative, technology, communication, and support tools and does not itself practice medicine or provide medical advice. Payment for access to the platform or Services does not guarantee that a prescription, lab order, diagnosis, treatment plan, or specific clinical outcome will be provided.

If telehealth services are made available, you acknowledge that they may be subject to separate informed consent documents, provider notices, state-specific disclosures, and additional provider terms.

10. Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that Neo Health may collect, use, and disclose information as described in that policy.

If any telehealth or healthcare provider services are provided through the Services, health information may also be handled in accordance with applicable healthcare privacy laws and provider-facing privacy documents where required.

11. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Neo Health disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

Neo Health does not guarantee that the Services will be uninterrupted, error-free, secure, or suitable for your specific needs.

12. Limitation of Liability

To the fullest extent permitted by law, Neo Health and its affiliates, officers, employees, contractors, licensors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of or inability to use the Services.

If liability cannot be fully excluded, Neo Health’s total liability to you for any claim arising out of or relating to the Services will not exceed the amount you paid to Neo Health for the Services in the 12 months preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Neo Health and its affiliates, officers, employees, contractors, licensors, and partners from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and fees arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.

14. Force Majeure

Neo Health will not be liable for any delay, interruption, failure in performance, or unavailability of the Services resulting from causes beyond its reasonable control, including natural disasters, severe weather, public health events, labor disputes, internet or cloud service failures, telecommunications outages, cyberattacks, platform outages, governmental actions, or interruptions involving third-party vendors or service providers.

15. App Store Terms

If you access the Services through an Apple or Android mobile application, you acknowledge that these Terms are between you and Neo Health, not the applicable app store provider. To the extent permitted by applicable law, the app store provider has no obligation to furnish maintenance, support, or claims handling for the Services.

16. Termination

Neo Health may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or if we believe suspension or termination is necessary to protect Neo Health, users, or third parties.

Upon termination, any provisions that by their nature should survive termination will remain in effect, including provisions relating to payments, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any accrued rights or obligations.

17. Changes to Terms

We may update these Terms from time to time. Any changes become effective when posted unless otherwise stated. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

19. General Terms

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Neo Health’s failure to enforce any provision of these Terms will not be deemed a waiver of its right to enforce that provision later.

Neo Health may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of assets. These Terms, together with any policies or supplemental terms incorporated by reference, constitute the entire agreement between you and Neo Health regarding the Services and supersede prior or contemporaneous understandings relating to the Services.
